Mezza terms of use

These Terms of Use (“Terms“) constitute a legally binding agreement between you (“User,” “you,” or “your“) and MEZZA, governing your access to and use of the MEZZA Platforms, which include the MEZZA mobile application, the MEZZA website, and any associated subdomains or online services operated by MEZZA.

By accessing, browsing, or otherwise using any part of the MEZZA Platforms, you confirm that you have read, understood, and agree to be bound by these Terms, together with the MEZZA Privacy Policy, which is hereby incorporated by reference.

If you do not agree to all of these Terms, you may not access or use the MEZZA Platforms. In addition to these Terms, you may be subject to additional agreements entered into with MEZZA or its Affiliates in connection with certain products, services, or promotions.

MEZZA maintains its principal place of business at 1470 Cleveland Road, Miami, Florida 33141, USA, and operates under the laws of the State of Delaware.


1. Definitions

As used in this Agreement:

“Affiliate”: means any entity, individual or company controlling, controlled by or under common control with the Merchant, directly or indirectly through one or more intermediaries. If MEZZA signs with a group, all Credit for Business Services of the Location and brands must be listed, as well as the POS in the Credit for Business Services of the Location (Location address, brand, POS).

“Customer”: means Customer, any natural person who is a customer of a Location and who is not a User.

“DDA”: Direct Deposit Authorization form, also known as ACH form for Automatic Clearing House form.

“Funding Date”: means the date on which MEZZA transfers funds to the Merchant to purchase Credit pursuant to a specific purchase offer with a reserve depending on the amount of the purchase offer and whether or not there is a trial period.

“Credit for Business Services”: means electronic credit certificates of a specified dollar amount that can be used to purchase food, beverages and other goods and services sold by the Merchant.

“Location”: means the location object of this agreement, but also any restaurant opened by the Merchant after the Effective Date, upgraded by the Merchant using funds from this contractual relationship or added to this contractual relationship at the written request of the Merchant.

“Launch Date”: means the date on which MEZZA begins marketing the Credit and on which Users may begin purchasing goods and services using the Credit at a given Location.

“MEZZA Solutions”: means the MEZZA mobile application, the technology or the service that allows Users to purchase, check, redeem and offer their Credits, refer friends, leave reviews and use any other features or enhancements that may be added.

“MEZZA Credit”: Credit for Business Services that are converted in MEZZA Credits.

“POS integration”: MEZZA develop POS integration with POS selected Partners that enables MEZZA to collect data such as sales data, credit etc.

“Purchase Offer”: a specific offer by MEZZA to purchase a Credit from a Merchant.

“Services”: the marketing campaigns described in paragraph 3 ‘Marketing and sale of Credit’ as well as mobile technology.

“Term”: means the period commencing on the Effective Date and expiring on the date on which MEZZA ceases to hold Credits following the sale of all purchased Credits subject to opt out and refund.

“Trial Period”: period of time where MEZZA agrees to make and the Merchant agrees to accept a Purchase Offer of 10% of the total amount.

“Training Period”: means the initial period during which MEZZA provides the Merchant with guidance and support to ensure proper understanding and use of MEZZA Solutions, POS integration and related procedures prior to or during the Launch Date.

“User”: a natural person who has downloaded the Mobile Technology and who purchases or receives Credits.


2. Amendments to Terms of Use

MEZZA reserves the right, at its sole discretion, to revise, update, or otherwise modify these Terms of Use at any time. Any modification shall become effective immediately upon posting the revised version on the MEZZA Platforms.

It is your responsibility to review these Terms regularly to stay informed of any changes. Your continued use of the MEZZA App or Website after any modification constitutes your acknowledgment and acceptance of the revised Terms. If you do not agree to any change, you must immediately discontinue use of the MEZZA Platforms.


3. MEZZA Balances

(a) General

MEZZA Balances” are electronic credit certificates of a specified dollar amount that can be used to purchase food, beverages and other goods and services sold by a particular merchant (hereinafter “Credit for Business Services“) which has several components as described below.

(b) Components of MEZZA Balance

Each MEZZA Balance may include one or more of the following components:

1. MEZZA Cash

When you purchase Credit for Business Services directly through the MEZZA App or Website, this creates MEZZA Cash. MEZZA Cash consists of two separate parts:

  • The Paid Portion, equal to the amount you paid, which does not expire; and
  • The Promotional Portion, equal to any additional value granted by MEZZA as a bonus or incentive, which expires three (3) years after the purchase date.

The Paid Portion is always redeemed first. Any Promotional Portion remaining after expiration is automatically forfeited and removed from your account.

2. House Accounts

A House Account is a MEZZA Balance tied to a specific Merchant Location and redeemable only at that Merchant. The Merchant is the sole issuer and responsible party for such House Accounts.

If the Merchant ceases operations or discontinues participation, you agree that your sole recourse is to seek a refund directly from that Merchant under applicable law.

A House Account includes both a Paid Portion and a Promotional Portion, governed by the same expiration rules and redemption order described above.

3. MEZZA Cash Back

MEZZA Cash Back is MEZZA’s way of rewarding you for engaging with us. MEZZA expires in accordance with the expiration policy stated below. MEZZA Cash Back can be earned in the following ways:

  • Dine and Earn – when a User pays a bill using MEZZA Solutions, the User may receive up to 20% of the amount charged to the User’s credit card on file (excluding any gratuities, fees, and service charges) to spend on subsequent visits. If you pay all or part of your bill with discounts, bonuses, previously earned MEZZA Cash Back or MEZZA Balances, you will not earn MEZZA Cash Back on the amount of your bill paid in that manner;
  • MEZZA Pass – if a User subscribes to a monthly or annual MEZZA Pass, when paying a bill using MEZZA Solutions the User may receive up to 20% of the amount charged to the User’s credit card on file (excluding any gratuities, fees, and service charges) to spend on subsequent visits. If you pay all or part of your bill with discounts, bonuses, previously earned MEZZA Cash Back or MEZZA Balances, you will not earn MEZZA Cash Back on the amount of your bill paid in that manner;
  • Referral – when a User refers another individual who subsequently pays a bill using the MEZZA App that meets the associated minimum spend requirement;
  • Ambassador Program – when a User participates in the MEZZA Ambassador Program and someone claims their offer and/or pays a bill using the MEZZA App that meets the associated minimum spend requirement;
  • Challenges – from time to time, MEZZA may organize specific challenges requiring Users to interact with MEZZA in certain ways, as described in each challenge (for example, paying with MEZZA at a certain number of participating Locations within a calendar month, or paying at a specific Location). Upon completion of a challenge, the User shall receive the amount of MEZZA Cash Back specified in that challenge.

MEZZA Cash Back is automatically applied to your account within twenty-four (24) hours of qualifying activity and expires two (2) months after the calendar month in which such MEZZA Cash Back was earned. The oldest accrued MEZZA Cash Back will be used for redemptions. If you have opted in to receive communications from MEZZA, we will notify you when any MEZZA Cash Back you have will soon expire.

(c) Uses and Restrictions

  • Use of MEZZA Balances for alcoholic beverages depends on applicable law.
  • MEZZA Balances cannot be combined with any other coupons, discounts or promotions, unless expressly permitted by the Merchant.
  • MEZZA Balances cannot be used for tips, prior balances, shipping or handling, room charges, administrative fees, or any other charges or fees, as applicable.
  • Duplicate use of MEZZA Balances is strictly prohibited.
  • Unless otherwise stated, the MEZZA Balance price does not include sales, value-added or use taxes, which may be charged separately by the Merchant at the time of redemption.
  • Unauthorized or unlawful reproduction, resale, modification or transfer of MEZZA Balances is prohibited. Pricing relating to certain MEZZA Balances displayed on MEZZA Solutions may change at any time at MEZZA’s sole discretion, without notice.

By purchasing a MEZZA Balance, you agree to any additional deal-specific terms advertised at the time of purchase (the “fine print,” regardless of how labeled) and to these Terms of Use. These rules apply to all purchases, except as otherwise required by law. Any attempt to redeem a MEZZA Balance in violation of these Terms of Use may result in the reversal of the transaction and/or the suspension or termination of your MEZZA account and any remaining associated Balance.

(d) Purchasing and Pricing

MEZZA reserves the right to verify identity before processing any purchase and may cancel orders for compliance or fraud-prevention reasons. If an error in pricing or description occurs, MEZZA may cancel or adjust the transaction and will notify you by email.

While MEZZA performs due diligence on Merchants, it does not warrant the quality, safety, or legality of goods or services provided by them. Each Merchant remains fully responsible for fulfillment and customer service relating to its offerings.

(e) MEZZA Subscriptions

Subscription services such as MEZZA Pass are available only to individuals aged eighteen (18) years or older. By enrolling, you authorize MEZZA to charge your payment method on a recurring monthly or yearly basis at the published rate.

You may cancel your subscription through your MEZZA App profile or by emailing support@mezzapay.com at least seventy-two (72) hours before your next billing date to avoid renewal.

Refunds are not automatic and may be granted only in exceptional circumstances at MEZZA’s discretion. If you cancel and later re-subscribe, any promotional pricing or benefits may not apply.

During an active subscription, you earn MEZZA Cash Back on eligible purchases (excluding gratuities, taxes, and service fees) paid through the App.

(f) Merchant Liability

Each Merchant participating in MEZZA Solutions is an independent business. MEZZA is not a guarantor of any Merchant’s performance, nor responsible for any loss, injury, or damages resulting from a Merchant’s actions or omissions.

By using a MEZZA Balance, you release MEZZA, its directors, officers, employees, and affiliates from any liability arising out of or related to goods and services provided by a Merchant.

(g) Refunds

Refund requests must be submitted within thirty (30) days of the purchase date. Full refunds will only be issued if none of the Credits have been used. If a refund is granted for partially used Credits, MEZZA will consider the Paid Portion as used first, and only the unused Paid Portion may be refunded.

All refunds are processed at MEZZA’s sole discretion and may be subject to verification and applicable processing fees.


4. Offers and Promotions

MEZZA may distribute limited-time promotional offers (“Offers“) by email, push notification, SMS, or social media. Offers may require opt-in activation and are personal to the recipient. Unless stated otherwise, they may not be shared, copied, or transferred.

Offers often carry specific eligibility requirements, expiration dates, and redemption restrictions. MEZZA reserves the right to cancel or modify any Offer at any time without notice. Misuse or fraudulent activity may result in suspension or forfeiture of Offers and Credits.


5. MEZZA Cash Back and Offer Suspension

If MEZZA determines, in its sole discretion, that a User has violated these Terms or engaged in unauthorized, deceptive, or fraudulent behavior, MEZZA may suspend or revoke any earned MEZZA Cash Back or promotional Offer without prior notice.

MEZZA also reserves the right to discontinue, modify, or replace any method of earning Cash Back or other rewards at any time.


6. Delivery

The MEZZA Platforms facilitate transactions between Users and Merchants but do not themselves prepare or deliver food or other goods. All purchases are final once an order has been completed.

MEZZA has no obligation to provide refunds or credits for delivered orders but may choose to do so at its discretion. Fees such as delivery or service charges may vary and can be changed without notice.

MEZZA may also charge Merchants commissions or other service fees for transactions made through the MEZZA Platforms.


7. Registration and Account Security

In order to access certain features of the MEZZA Platforms, you may be required to create an account. By registering, you agree to:

  • provide true, accurate, current, and complete information about yourself;
  • maintain and promptly update your account information to keep it accurate and complete; and
  • safeguard your account credentials, including your password, and accept full responsibility for all activities that occur under your account.

You agree not to share your login credentials or authorize others to use your account. MEZZA will not be liable for any loss or damage arising from your failure to maintain the security of your account.

If you become aware of any unauthorized use of your account or a breach of security, you must notify MEZZA immediately at support@mezzapay.com.

MEZZA reserves the right, at its sole discretion, to suspend, deactivate, or terminate any account that appears to have been compromised, used fraudulently, or otherwise in violation of these Terms.


8. Intellectual Property Rights

All software, design, text, images, data, databases, audio, video, graphics, and other materials available on or through the MEZZA Platforms (collectively, “Content“) are the property of MEZZA and/or its affiliates, licensors, vendors, or partners, and are protected by U.S. and international intellectual property laws, including copyright, trademark, and trade secret laws.

Except as expressly permitted under these Terms, you may not copy, reproduce, modify, display, publish, distribute, transmit, perform, or create derivative works from any Content.

Any unauthorized use may constitute a violation of applicable law and may result in civil or criminal penalties.


9. Use License

MEZZA grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the MEZZA Platforms for your personal, non-commercial purposes only. Under this license, you may not:

  1. Modify or copy the Content, except as expressly authorized in writing by MEZZA;
  2. Use the Content for any commercial purpose or for any public display (commercial or non-commercial);
  3. Attempt to decompile, reverse engineer, or disassemble any software on the Platforms;
  4. Remove or obscure any copyright, trademark, or proprietary notices;
  5. Transfer the Content to another person or “mirror” it on any other server.

This license shall automatically terminate if you violate any of these restrictions, and MEZZA may terminate it at any time for any reason, with or without notice. Upon termination, you must destroy any downloaded materials in your possession, whether in electronic or printed form.


10. Trademarks

MEZZA,” the MEZZA logo, and other marks, designs, or trade names used on the Platforms are registered and unregistered trademarks of MEZZA and its affiliates (collectively, “MEZZA Trademarks“). Other company or product names appearing on the Platforms may be trademarks of their respective owners.

You may not use, copy, display, distribute, or modify any MEZZA Trademarks in any manner without prior written authorization. The use of any MEZZA Trademark as part of a hyperlink or metatag without express written permission is strictly prohibited.

11. User Content and Conduct

You are solely responsible for all information, text, images, videos, or other materials (“User Content“) that you post, upload, share, or otherwise make available through the MEZZA Platforms.

By submitting or posting User Content, you represent and warrant that:

  • You own or have the necessary rights to submit such content;
  • Your content does not infringe any third-party rights, including copyrights, trademarks, or privacy rights;
  • Your content does not contain unlawful, defamatory, obscene, hateful, or otherwise objectionable material.

You further agree not to:

  • Use the MEZZA Platforms to send unsolicited messages or spam;
  • Harvest personal data or contact information from other Users;
  • Impersonate any person or entity or misrepresent your affiliation;
  • Upload any content that contains malware, viruses, or other harmful code;
  • Interfere with or disrupt the operation of the MEZZA Platforms.

(a) Rights Granted to MEZZA

By posting, uploading, sharing, or otherwise making available any User Content through the MEZZA Platforms, you grant MEZZA, and you represent and warrant that you have the right to grant, an irrevocable, perpetual, worldwide, royalty-free, non-exclusive, transferable license, with the right to sublicense, to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and distribute such User Content for any purpose in connection with the operation, promotion, or improvement of the MEZZA Platforms or any related business activities.

This license includes the right to prepare derivative works of, or incorporate into other works, such User Content, and to grant and authorize sublicenses of the foregoing rights.

You may remove your User Content from the MEZZA Platforms at any time; however, the license granted above does not expire upon removal and shall survive for as long as MEZZA retains such User Content in connection with lawful business purposes, archival use, or technical backups.

MEZZA reserves the right, but has no obligation, to monitor, review, or remove any User Content that it determines, in its sole discretion, violates these Terms or is otherwise inappropriate.


12. Links to Third-Party Websites

From time to time, the MEZZA Platforms may include links to or integrations with third-party websites or services (“Third-Party Sites“). These links are provided solely for your convenience.

MEZZA does not control, endorse, or assume responsibility for the content, privacy policies, or practices of any Third-Party Site. Accessing any Third-Party Site is at your own risk, and your use of such sites is governed by the terms and policies of those providers, not these Terms.

MEZZA shall have no liability for any damages, losses, or disputes arising from your interaction with Third-Party Sites, including any purchases, promotions, or advertisements displayed thereon.


13. Copyright Complaints (DMCA)

MEZZA respects the intellectual property rights of others and expects Users to do the same. If you believe that material available on the MEZZA Platforms infringes your copyright, you may send a written notice of alleged infringement in accordance with the Digital Millennium Copyright Act (DMCA) to:

Your notice must include:

  1. A physical or electronic signature of the copyright owner or authorized agent;
  2. Identification of the copyrighted work claimed to have been infringed;
  3. Identification of the material that is claimed to be infringing, and sufficient information to locate it on the MEZZA Platforms;
  4. Your contact information, including name, address, phone number, and email;
  5. A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in your notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner.

MEZZA may remove allegedly infringing material and, when appropriate, terminate the accounts of Users who are deemed repeat infringers. Counter-notifications may be submitted in accordance with Section 512(g) of the DMCA.


14. Technical Requirements

To use MEZZA Solutions effectively, Users must have access to:

  • A smartphone or compatible device with an active data connection;
  • Current versions of iOS or Android operating systems; and
  • The latest version of the MEZZA App installed.

MEZZA regularly updates its software for functionality and security purposes. Older operating systems may not support the App, and MEZZA assumes no liability for any incompatibility or loss of service resulting from outdated devices or unsupported configurations.

Users are responsible for maintaining secure network connections and updated device software.


15. Mobile Marketing and Communications

By opting in to receive text messages or mobile alerts from MEZZA, you consent to receive recurring automated promotional and informational messages (including offers, reminders, and updates) at the mobile number you provide.

  • Message frequency may vary.
  • Message and data rates may apply.
  • Your consent is not a condition of any purchase.

To opt out at any time, reply STOP to any message. For help, reply HELP or contact support@mezzapay.com.

MEZZA’s mobile messaging program is available to U.S. residents and complies with applicable telecommunications laws. MEZZA and its carriers are not liable for delayed or undelivered messages.

Data collected in connection with mobile messaging (including phone number, carrier, message content, and metadata) may be used to manage the service, prevent abuse, and improve customer engagement, in accordance with the MEZZA Privacy Policy.


16. Use of Personal Information

Your privacy is important to MEZZA. All personal data collected through the MEZZA Platforms, including account information, payment details, geolocation data, and usage analytics, are processed in accordance with MEZZA’s Privacy Policy available on the Website.

MEZZA may use personal data to:

  • Facilitate transactions and provide customer support;
  • Communicate promotions or service updates;
  • Prevent fraud and enhance security;
  • Improve and personalize the user experience; and
  • Comply with legal obligations or law enforcement requests.

By using the MEZZA Platforms, you consent to the collection, processing, and storage of your data in the United States and, where applicable, other jurisdictions in which MEZZA or its service providers operate.


17. Disclaimer of Warranties

THE MEZZA PLATFORMS, INCLUDING ALL CONTENT, PRODUCTS, AND SERVICES PROVIDED THEREIN, ARE MADE AVAILABLE “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, MEZZA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR DATA;
  • WARRANTIES THAT THE PLATFORMS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

MEZZA DOES NOT WARRANT THAT ANY INFORMATION OBTAINED THROUGH THE PLATFORMS IS FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO CERTAIN EXCLUSIONS MAY NOT APPLY TO YOU.


18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEZZA, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO:

  • (a) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE MEZZA PLATFORMS;
  • (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORMS, INCLUDING MERCHANTS;
  • (c) ANY CONTENT OBTAINED FROM THE PLATFORMS; OR
  • (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL MEZZA’S TOTAL LIABILITY EXCEED FIVE HUNDRED U.S. DOLLARS (USD $500), REGARDLESS OF THE THEORY OF LIABILITY OR WHETHER MEZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.


19. Indemnification

You agree to indemnify, defend, and hold harmless MEZZA, its affiliates, officers, directors, employees, agents, licensors, and partners from and against any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • (a) your violation of these Terms or of any applicable law or regulation;
  • (b) your misuse of the MEZZA Platforms;
  • (c) any User Content you post, transmit, or share; or
  • (d) your interaction with any Merchant or third party through the MEZZA Solutions.

MEZZA reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with MEZZA in asserting any available defenses.


20. Consent to Electronic Disclosures

Because MEZZA conducts most of its business electronically, you hereby consent to receive all communications, notices, disclosures, statements, tax documents (including any Schedule K-1s, if applicable), and other information (“Electronic Communications”) from MEZZA in electronic form.

Electronic Communications may be delivered via the MEZZA App, Website, email, or any other electronic means. This consent satisfies the requirements of U.S. Revenue Procedure 2012-17 for electronic delivery of Schedule K-1s.

To access and retain these Electronic Communications, you must use a device capable of accessing the Internet with a current web browser (such as Microsoft Edge, Chrome, Safari, or Firefox) and sufficient storage or printing capability to retain a copy.

You may withdraw your consent to receive Electronic Communications at any time by emailing support@mezzapay.com with the subject line “Electronic Disclosures.” Withdrawal of consent will not affect the legal validity or enforceability of any prior transactions or communications conducted electronically before such withdrawal.

You may also request paper copies of any Electronic Communication by contacting MEZZA at the same email address. It is your responsibility to maintain accurate contact information, including your email and mailing address, to ensure continued receipt of all Communications without interruption.


21. Governing Law; Venue; Arbitration

These Terms, and any dispute or claim arising from or relating to them, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-laws principles.

Any dispute or claim arising out of or relating in any way to your use of the MEZZA Platforms shall be resolved exclusively through binding arbitration, rather than in court, except that you may assert qualifying claims in small claims court.

The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and Mediation Procedures, including the Procedures for Large, Complex Commercial Disputes where applicable.

Arbitration shall take place in Austin, Texas, before one arbitrator for claims under $1,000,000 or three arbitrators for claims exceeding that amount. The arbitrator(s) shall have exclusive authority to resolve all disputes concerning the interpretation, validity, and enforceability of these Terms.

You and MEZZA agree to the following:

  • There shall be no right to a jury trial;
  • Class actions are waived — all claims must be brought individually;
  • The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

In no event shall MEZZA be required to pay attorneys’ fees or costs associated with your arbitration unless otherwise required by applicable law.


22. Availability and Jurisdictional Restrictions

MEZZA makes no representations that the Platforms or Content are appropriate or available for use in other locations. Accessing the Platforms from territories where their contents are illegal is strictly prohibited. Users who choose to access the Platforms from other jurisdictions do so on their own initiative and are responsible for compliance with local laws.


23. Notice of Financial Incentive

From time to time, MEZZA may offer Users promotional rewards, discounts, or other benefits for participation in marketing campaigns, referrals, or data-sharing initiatives (“Financial Incentives“).

Examples of Financial Incentives include:

  • MEZZA Cash Back or bonus Credits;
  • Subscription discounts;
  • Free or discounted goods and services;
  • Invitations to exclusive events or challenges.

Under California law, these rewards may be considered “financial incentives” related to the collection and use of personal data. Participation is entirely voluntary.

The value of any incentive is reasonably related to the value of the personal data provided, based on factors such as engagement levels, program costs, and retention value. You may withdraw from participation in any Financial Incentive program at any time by contacting support@mezzapay.com.


24. GDPR Addendum (EEA and UK Users)

For Users located in the European Economic Area (EEA) or the United Kingdom, MEZZA acts as the data controller with respect to personal data processed through the MEZZA Platforms.

(a) Legal Bases for Processing

MEZZA processes personal data based on one or more of the following legal bases:

  • Performance of a contract (e.g., to provide Services);
  • Compliance with legal obligations;
  • Legitimate interests (e.g., fraud prevention, analytics); and
  • Consent (for marketing and non-essential cookies).

(b) Data Transfers

Your personal data may be transferred to the United States or other jurisdictions that do not offer the same level of data protection as the EEA or UK. MEZZA ensures appropriate safeguards through the use of European Commission-approved Standard Contractual Clauses (SCCs).

25. General Provisions

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the fullest extent possible, and the remaining provisions shall remain in full force and effect.

These Terms, together with any other applicable policies or agreements referenced herein, constitute the entire agreement between you and MEZZA regarding your use of the MEZZA Platforms and supersede all prior or contemporaneous understandings.

No failure or delay by MEZZA in exercising any right or remedy shall be deemed a waiver thereof. Headings are for convenience only and shall not affect interpretation. All rights not expressly granted in these Terms are reserved by MEZZA.
